I want to buy an old 22 rifle from a friend of mine. It was made in 51 and there is no serial number. It was passed down within his family. is there any problem in transfering it to me? Does he have to prove ownership somehow?

No, he doesn't need to prove ownership.
If you have a C&R FFL license, (not likely, but just in case...) then he can just give it to you.
If you do not have a C&R FFL license, then you can both go to your local FFL and do the transfer; they will run a background check on you, just like you were buying a gun from the store.
